This End User License Agreement (“EULA”) is a legal agreement between you (either an individual or a single entity, “You”) and Signal and Echo (“we”, “our”, “us”) regarding your use of the video game NullBound: The Last Signal (“NullBound”) and all associated content, updates, and documentation (collectively, the “Software”).
By installing, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software, and you may request a refund from the platform where you purchased it (e.g., Steam) in accordance with that platform’s refund policy.
1. License grant
Subject to your compliance with this EULA, we grant you a non-exclusive, non-transferable, limited license to install and use the Software for your personal, non-commercial entertainment.
This license: - Begins when you purchase or lawfully acquire access to the Software. - Continues for as long as you maintain a valid license to the Software on the platform where you acquired it. - Is tied to your account on that platform (e.g., your Steam account).
2. Early Access
From June 2026 through Early 2027, the Software is offered as an Early Access product. This means:
- The Software is incomplete and under active development at the time of your purchase.
- The final 1.0 release may differ substantially from the version available when you purchase.
- Features, content, systems, pricing, and release dates are subject to change.
- We do not guarantee that any specific feature, protocol, or content described as “planned” will ship at any specific date, or at all, although we will make good-faith efforts to communicate changes.
- If you are not comfortable with buying a work-in-progress, we recommend waiting until the 1.0 release.
You acknowledge that you are purchasing the Software as it exists at the time of purchase, with the right to receive updates issued during the Early Access period and after.
3. Ownership
The Software is licensed, not sold. Signal and Echo retains all right, title, and interest in and to the Software, including all intellectual property rights — code, art, music, design, text, trademarks, and the names “NullBound” and “NullBound: The Last Signal”. This EULA does not transfer ownership of any part of the Software to you.
4. Permitted use
You may:
- Install and play the Software on any device where you have a valid license.
- Create screenshots, video recordings, livestreams, and other content depicting your play of the Software, and share or monetize that content (e.g., on YouTube, Twitch, TikTok, or similar platforms). You grant us a non-exclusive license to share or reference such content in our own marketing — we will credit you where practical.
- Participate in the game’s community and provide feedback through Discord, Steam Discussions, in-game feedback, or direct communication.
5. Prohibited use
You may not:
- Copy, modify, distribute, sell, rent, lease, sublicense, or create derivative works of the Software or its components, except as expressly permitted in Section 4.
- Reverse engineer, decompile, or disassemble the Software, except to the extent required by applicable law.
- Remove, disable, or circumvent any copy protection, access controls, or technical protection measures.
- Use the Software to develop a competing product.
- Use the Software in a manner that violates applicable law, infringes third-party rights, or harms other users.
- Use cheats, trainers, bots, or third-party tools that alter the Software’s behavior in multiplayer contexts (when multiplayer is added).
- Exploit or disclose security vulnerabilities without first giving us a reasonable opportunity to address them.
6. Modding and community content
We encourage community creativity. When modding tools become available for NullBound, they will be governed by a separate Modding Addendum that will grant broader rights than this EULA. Until then, do not redistribute modified versions of the Software.
7. User-generated content
If you submit feedback, suggestions, bug reports, or other communications to us (collectively, “User Submissions”), you grant us a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and incorporate those submissions into the Software or our other products without obligation to you. We are not required to credit you for User Submissions.
This section does not apply to content you create using the Software (e.g., screenshots, videos) — those remain yours, subject to the license in Section 4.
8. Updates and changes
We may update, modify, or discontinue features of the Software at any time, including during Early Access. We may also:
- Add or remove content (including items, protocols, enemies, mechanics).
- Rebalance game systems.
- Change the user interface.
- Add, modify, or remove third-party integrations (e.g., Steam Workshop, if added).
Such updates are part of the Software and are governed by this EULA.
9. Save data
Save data is stored locally on your device and, if you play via Steam, may also be stored in Steam Cloud. Save data is your property, and you are responsible for backing it up. We are not liable for loss of save data due to hardware failure, operating system updates, platform changes, or Software updates.
Migration paths between Software versions will be maintained on a best-effort basis. We reserve the right to require a reset of save data if a structural change to game systems makes old saves incompatible, and will communicate such changes in advance when possible.
10. Disclaimer of warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
This disclaimer applies to the maximum extent permitted by applicable law. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIGNAL AND ECHO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS EULA AND THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID TO ACQUIRE THE SOFTWARE DURING THE 12-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you. Nothing in this EULA limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by our negligence, or for fraud.
12. Termination
This EULA remains in effect until terminated. You may terminate it at any time by uninstalling the Software. We may terminate it if you materially breach these terms — for example, by engaging in prohibited use (Section 5) in a manner that harms other users.
Termination of the EULA ends your license to the Software. Where termination is a result of your breach, we may, at our discretion, request that the platform where you purchased the Software (e.g., Steam) revoke access. This is rare and reserved for serious violations.
13. Governing law
This EULA is governed by the laws of the jurisdiction where Signal and Echo is domiciled, without regard to its conflict-of-law principles. Any dispute arising out of or relating to this EULA will be resolved in the courts of that jurisdiction, or via small-claims court where applicable.
Nothing in this section affects consumer rights that you have under applicable law, which may require disputes to be resolved in your local courts.
14. Severability
If any provision of this EULA is held to be unenforceable, that provision will be modified to the extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
15. Entire agreement
This EULA, together with the Privacy Policy, constitutes the entire agreement between you and Signal and Echo regarding the Software and supersedes any prior agreements.
16. Changes to this EULA
We may update this EULA from time to time. Material changes will be communicated via Steam Announcements and the Discord #announcements channel, and the “Last updated” date at the top of this document will be revised. Continued use of the Software after a change constitutes acceptance of the revised EULA.
